Documents necessary for setting up a company
Which are the documents that must be filed for incorporation of the company with the National Office of Trade Register (N.O.T.R):
- Application (form N.O.T.R)
- Reservation of the company’s name (in county or at a national level)
- Articles of Incorporation (authenticated by a lawyer or notary public) on the drawing of which there have to be cleared out, compulsory:
- main field of activity;
- secondary field of activity;
- name of company (with the number of the reservation issued by N.O.T.R);
- associates / administrators of the company;
- contribution to the registered capital of each of the associates; - Fiscal records of each of the company’s associates and administrators
- Commodate contract / renting contract of the space where the registered head office will be established
- Agreement of the association of owners / tenants
- Agreement of neighbors (residents)
- Copy of the document of property for the registered office
- Copy of the identity card/passport of associates
- Specimen of signature of the administrator (administrators) of the company
- Declarations of the company’s associates (authenticated)
- Proxy by the associates for the person empowered to submit the file to N.O.T.R (authenticated)
- Proof of submitting the registered capital to the chosen bank by the company’s associates
- Declaration (form of N.O.T.R) signed by one of the associates
- Financial Vector - Annex
- Other documents (as appropriate):
-in case of change of name / number of the street, it is necessary also a Certification released by the competent town hall (cadastre office)
- certification for the students that meet all the conditions and want to benefit of all the legal facilities that are granted to them
